AIC Releases Requirements for 2012 Annual Inspection

Mar. 4 – The 2012 annual inspection season for Chinese enterprises officially began on March 1, 2013 and will end on June 30, 2013. The Administration of Industry and Commerce (AIC) recently promulgated a Circular to remind AIC-registered enterprises to undergo annual inspection on time, specifying the requirements for the inspection. All AIC-registered enterprises should fill out the relevant information in the online annual inspection system and submit the required documentation within this time period.

The following documents should be submitted:

1. Annual Inspection Report
2. Proof of designation of representative or entrusted agent
3. Photocopy of business license
4. Photocopy of relevant licensing certificate and/or permit (if applicable)
5. Annual balance sheet and income statement
6. The following enterprises are required to submit an audit report:

  • One-person limited liability companies, public companies, and companies engaged in the business of finance, futures and securities;
  • Companies engaged in insurance, venture capital investment, capital verification, appraisal, real estate agents, entry and exit agents, labor dispatch agents, and enterprise registration agents
  • Companies which have not fully paid up their registered capital
  • Companies that conducted illegal acts with regard to registered capital contribution in the past 3 years

7. For enterprises with non-legal person branches, photocopies of the branches’ business license
8. Other documents required by the State AIC

For enterprises in the liquidation process, only the Annual Inspection Report is required to be submitted.

Enterprises which are not able to undergo the annual inspection within the specified time period due to special circumstances should apply for an extension before June 30, 2013.
